Christoph Diregger on contestability of shareholder resolutions

In the December 2022 issue of Zeitschrift für Gesellschafts- und Unternehmensrecht (Journal for Corporate and Business Law, GesRZ), Christoph Diregger comments on the a recent decision by the Austrian Supreme Court (6 Ob 92/22f). In it’s judgement, the court decides on the question of whether a violation of an injunction prohibiting certain voting behavior renders a shareholder resolution voidable.
